Profile

Jessupa has been practicing law and providing legal services since 2015. She began her career as

a legal officer at a public company, handling contracts, corporate matters, mergers and acquisitions (M&A), and intellectual property. In October 2017, she moved to a law firm, focusing on corporate matters, including due diligence for asset purchases and document legalization services. From 2020 to 2022, Jessupa served as a senior associate at a law firm, focusing on international corporate matters. She advised clients expecting to invest or expand their businesses abroad, particularly in Laos, Cambodia, and Myanmar, and provided advice on obtaining business licenses and regulatory compliance in various jurisdictions. In 2022, Jessupa shifted from law firm to become an in-house role as Legal Manager at a regional fintech company (owner of Thailand’s leading financial application), where she provided legal advisory services to business units and drafted complex agreements involving technical and financial aspects related to the application. In May 2024, Jessupa returned to pursue her career in a law firm, joining ONE Law as a Senior Associate practicing in commercial and corporate legal services. Her current practice includes contract drafting, corporate and compliance advisory, M&A projects, business restructuring, and strategic consulting in relation to BOI investment promotion for product manufacturing.

Mergers & Acquisitions (M&A) and Joint Ventures (JV)

Assisted teams in advising clients on a range of M&A and joint venture projects, encompassing legal and tax planning, negotiation of commercial terms, due diligence, contract drafting, and execution of closing and post-closing activities. Key representations include:

  • Assisted a Thai renewable energy company in the acquisition of a 99.98% equity stake in target companies operating solar power projects across multiple provinces in Thailand.
  • Assisted a Thai renewable energy company in acquiring a majority equity stake in a target company engaged in waste-to-energy business in Thailand.
  • Assisted a Thai building materials retailer in its M&A transactions and related legal matters.
  • Assisted a Thai company engaged in plastic packaging business in its M&A transactions.

 

International Experiences & Cross-Border Transactions

Notable transactions include:

  • Led corporate matters for local and international clients investing in Thailand, Lao PDR, Cambodia, and Myanmar, including company incorporation, business structuring, and regulatory compliance.
  • Drafted company work rules for a prominent Thai agribusiness company operating in Myanmar, ensuring compliance with local labor laws.
  • Managed the end-to-end application process for a retail business license to support the client’s expansion into Lao PDR.  
  • Managed the full registration process for cosmetic products in Myanmar for one of Thailand’s leading cosmetic brands.
  • Advised an Australian investor on the acquisition of property in Bangkok, including conducting legal due diligence.
  • Advised Indian client on the lease of land in Vientiane, Laos, including the drafting of lease agreements and legal considerations.
  • Coordinated and managed trademark registration processes across multiple countries.
  • Drafted cross-border IT system migration agreements and advised on contractual terms in negotiation with Chinese stakeholders.

Advised clients across diverse sectors on compliance matters, including conducting compliance audits, gap analyses, legal documentation preparation.
