Profile

Kochapan joined ONE Law Office Limited in 2023, specializing in business restructuring, mergers and acquisitions (M&A), and initial public offerings (IPOs). Her focus is on advising clients on corporate restructuring strategies, particularly those involving cross-border transactions to facilitate M&A and IPO goals. Kochapan also provides counsel on a wide range of corporate and commercial matters, including real estate, contract law, labor and employment, as well as compliance and regulatory issues.

 

Prior to joining ONE Law Office Limited, Kochapan gained valuable experience at prominent Thai-based law firms. She contributed to several market entry projects, offering legal support in IPO due diligence, regulatory compliance, and advising on cross-border transactions. Abigail has also developed a strong understanding of various industries, including crude palm oil (CPO) and biodiesel manufacturing, the hotel and resort business, renewable energy, logistics, and parking space rental services.

 

Kochapan combines her growing legal expertise with a deep commercial awareness, helping clients navigate the complexities of both local and international business landscapes. Her ability to handle cross-border transactions positions her as an emerging key player in delivering practical legal solutions that align with clients' strategic goals.

Business Restructuring

Contributed to advising clients on a range of business restructuring projects, by providing legal and tax planning to maximize tax benefits and be suitable for client’s businesses. Key representations include:

  • Represented a prominent Thai coffee brand in its M&A transaction with one of Thailand’s largest beverage manufacturers and exporters.
  • Advised a Thai private company in the Japanese restaurant sector on an M&A transaction with a leading Thai oil and retail business operator (listed on the Stock Exchange of Thailand), which acquired a 25% equity stake.

Mergers & Acquisitions (M&A) and Joint Ventures (JV)

Contributed to advising clients on a range of M&A and joint venture projects, encompassing legal and tax planning, negotiation of commercial terms, due diligence, contract drafting, and execution of closing and post-closing activities. Key representations include:

  • Represented a prominent Thai coffee brand in its M&A transaction with one of Thailand’s largest beverage manufacturers and exporters.
  • Advised a Thai private company in the Japanese restaurant sector on an M&A transaction with a leading Thai oil and retail business operator (listed on the Stock Exchange of Thailand), which acquired a 25% equity stake.
  • Represented a Thai fuel distributor (listed on the Stock Exchange of Thailand) in its sale of 50% shares in a subsidiary and joint venture transaction with a leading state-owned energy and chemical company in China.
  • Assisted a Thai fuel distributor (listed on the Stock Exchange of Thailand) in a joint venture transaction with a Singapore-based financial services company to expand into non-oil businesses.
  • Represented a Thai fuel refinery operator (listed on the Stock Exchange of Thailand) in the acquisition of assets and rights to operate a fuel pipeline transportation business in central and northern Thailand.
