Profile

Wanas has been practicing law and providing legal services since 2021. After graduating, he began his career at a Thai-based law firm as a commercial and corporate lawyer, where he specialized in business law services, including initial public offerings (IPOs), corporate compliance, labor and employment, and litigation.

 

In 2023, he joined ONE Law as a leading lawyer in the commercial and corporate practice group. His areas of expertise include contract drafting, legal advisory on corporate and compliance matters, mergers and acquisitions (M&A), long-term lease transactions, business restructuring, real estate acquisitions, family law, labor and employment, and IPO preparation.

Mergers & Acquisitions (M&A) and Joint Ventures (JV)

Assist teams in advising clients on a range of M&A and joint venture projects, encompassing legal and tax planning, negotiation of commercial terms, due diligence, contract drafting, and execution of closing and post-closing activities. Key representations include:

  • Represented an international transportation business to sale of share to the Japanese investor.
  • Advised a Thai private company on acquiring a 26% stake in four subsidiaries of a listed company in the glass and packaging sectors.
  • Represented a Machinery distributor for the food sector (non-listed on the Stock Exchange of Thailand) in its sale of 49% shares and joint venture transaction with the Japanese investor.
  • Advised a Thai private company on subscribing a 35% stake in a private company in the pet food sectors.
  • Advised a Thai private company on merger project in a private company in the paint sectors and internation transportation.

Initial Public Offering (IPO)

Assist teams in advising businesses on IPO preparation and implementation, including legal due diligence, compliance for IPO purposes, corporate transformations, and company secretarial services. Recent clients include:

  • Food and snack manufacturer and exporter
  • medical clinic specializing in fertility treatment
  • medical clinic specializing in kidney dialysis

Long-Term Lease & Property Transactions

Assist teams in provided legal guidance to landlords on lease structuring, negotiation, and registration. Notable transactions include:

  • Advised individual landlords on leasing land in central Bangkok to a prestigious British international school.
  • Represented a retail-focused property developer in various lease transactions in Bangkok for commercial center development.
  • Assisted a Real Estate Investment Trust (REIT) in expropriation of land.
