Profile

Punyanuch joined One Law in 2023 as an Associate. She is active and experienced in business restructuring, corporate & commercial, mergers & acquisitions, IPO preparation, and tax practice in a wide range of industries. Her experience includes drafting and reviewing commercial agreements and a broad range of legal documents and providing tax and legal advice in domestic and cross-border transactions.

Experience

Business Restructuring

Assisted teams in advising clients on a range of business restructuring projects, by providing legal and tax planning to maximize tax benefits and be suitable for client’s businesses. Key representations include:

  • Advised a Thai private company in the coloring sector on business restructuring by way of the new merger.
  • Advised the textile and garment manufacturer and exporter on business restructuring by way of the transfer of assets at book value pursuant to Paw. 64/2539.

Mergers & Acquisitions (M&A) and Joint Ventures (JV)

Assisted teams in advising clients on a range of M&A and joint venture projects, encompassing legal and tax planning, negotiation of commercial terms, due diligence, contract drafting, and execution of closing and post-closing activities. Key representations include:

  • Represented a Thai private company engaged in the calibration services business in its sale of 100% shares with a global calibration company in France.
  • Represented a Thai ICT solution company in its sale of 40% shares with a Japan-based holding company engaged in IT solution business.
  • Represented a Thai private company engaged in the veterinary hospitals' services in its sale of assets with a Singapore-based group.
  • Represented a Thai fuel distributor (listed on the Stock Exchange of Thailand) on its joint venture with a Thai company in the factoring sector (listed on the Stock Exchange of Thailand) to establish a leasing company.
  • Represented a Thai creative production company in its sale of assets by way of entire business transfer with a Thai company in the production sector (listed on the Stock Exchange of Thailand).

Initial Public Offering (IPO)

Assisted teams in advising businesses on IPO preparation and implementation, including pre-IPO restructuring, legal due diligence, compliance for IPO purposes, corporate transformations, and company secretarial services. Recent clients include:
